ATTORNEY RESPONSIBILITIES:
- Review merger, stock and asset purchase agreements, disclosure schedules and closing documents; and performing due diligence and drafting related memoranda;
- Drafting organizational documents, including provisions relating to common and preferred stock; subscription, shareholders’, partnership and limited liability company operating agreements; investor rights, voting, right of first refusal and co-sale and indemnification agreements; joint venture documentation; and general corporate contracts; and
- Drafting loan and security agreements, notes, pledge and control agreements, collateral assignment documents, guarantees and inter-creditor agreements; and convertible note and bridge loan documents, all a plus.
- Use existing contacts and develop new contacts with PE and Law Firms to originate new business
- If applicant owns a book of business, or if applicant's current employer is willing to sell the book of business, hiring agency is very open to purchasing.
- Experience working with mid-market to large market commercial clients
